When I checked online to see if CitiB is licensed to do business in my state, there is no record of such. Does this mean they have some blanket registration that covers them for all 50 states? As far as I know they have NO physical banking institution in this state. CitiFin appears to be registered, but CitiB South Dakota is not.

Any comments on this would be appreciated.

They can farm things out to a lawyer that is licensed in your state, or they can use a "sister agency" and have a reciprocal arrangement with an agency in another state.

Citibank has a national charter, so not too surprising. They might have a registered agent listed somewhere.

I wouls suspect they use a registered agent.

I took United Airlines to small court one time. They used a registered agent that was another company and as far as I could see, the registered agent was not 'related' to United Airlines.

The judge told me they do that just to confuse people. I was under the impression the registered agent had to be a person.

If you watch TV you see the ads for incorporate you business in Nevada, well the same holds true for any other state that you incorporate in. You are required to have a registered agent in that state. Their are companies this is all they do. They act as an agent for the company that is registered. This gives you a place to serve them with papers so they can be forwarded on to the company. They do not represent or do anything but forward the legal process.

YOU DO NOT SUE the registered agent nor does the registered agent represent the company in court. I have no idea what Big John is talking about, but it is not what happens when you sue someone like United Air Lines.

In Arizona, you send the small claim's suit to the corporation's statutory agent.

Every corporation that is incorporated or authorized to do business in Arizona must appoint what is called a statutory agent. This is a person or entity authorized to accept the service of lawsuits on the corporation's behalf.

For example, if you are suing XYZ , Inc., you would call the Corporation Commission and find out that it is in good standing and its statutory agent is Jane White. The defendant in your lawsuit would be "XYZ, Inc., an Arizona corporation," but you would serve the complaint on Jane White, who would then pass it on to the appropriate person at the corporation. (See below for more information regarding "serving" a complaint.)

In the case of United Airlines, the statutory agent is another business, which is a strange way of 'hiding' behind the corporate veil.
